Nuanic Oy, business ID: 1579026-4, address: Biokatu 6, 33520 Tampere, Finland, sells products and services to other companies. Nuanic has no consumer sales. By placing an order for a product or service, you accept these terms and conditions of sale and delivery.

These Terms of Sales and Delivery are valid from 1st of May 2023. We reserve the right to unilaterally modify the terms, so please review our delivery terms in advance each time you place an order.

Who can buy Nuanic’s products and services

Research Institutes and R&D Laboratories

Pre-ordering is intended for research institutes and R&D laboratories. The researcher is responsible for all safety issues related to using Nuanic devices. Researcher is responsible for instructing the end user in using the device and services by instructions in user guide, as well as for interpreting the measurement data. 

The product and services may not be used for commercial purposes or as part of commercial services without explicit written permission from Nuanic.

Products and Prices

The features and prices of the products and services are presented in connection with each product description. We reserve the right to make changes to the content, availability, prices, and delivery costs of products and services, so please check this information before accepting the order. Prices do not include taxes or shipping costs.

Shipping costs, taxes, and customs

The shipping costs of the product vary depending on the size of the shipment and the country. Shipping costs will be added to the final price. The receiver of the product needs to cover duties and tariffs specific to each country.

Ordering

Request for Proposal

You can find the request for proposal for pre-orders on our website. Fill in the form with the quantity of products and services, delivery information, company details, and contact information. Submit the request for proposal, and you will receive our official quotation via email within a few days.

Nuanic will store your contact information in the customer data register. Read more in our Privacy Policy here.

Quotation

Nuanic will send you a quotation to the email address you provided. The quotation will specify the offered products, prices, shipping costs, delivery time, and the validity period of the quotation. If we cannot fulfill the content of your request for proposal, we will contact you by email.

Acceptance of Quotation and Payment

Confirm the order by replying to the quotation email and provide the invoicing details by the due date. By accepting the quotation, you commit to the order.

You will receive instructions for the payment in your email. You can pay for the order via invoice (e-invoice or pdf) or PayPal.

NOTE: The order will be shipped only after the full purchase amount has been paid.
NOTE: The final design of the Nuanic ring may be subject to change.

Shipping Method

The products will be delivered to the address specified in the order or to a nearby pickup point. You will receive a tracking number notification to your e-mail address. Our shipping partner is GLS.

Delivery Time

Pre-orders will be delivered during September-October 2023. You will receive a notification by email when the order is ready for shipping.

If there is a delay in delivery, we will inform you by email. If the delivery time is unreasonably prolonged, you have the right to cancel the order.

Checking the order

Please check the order immediately upon receipt. If the Product(s) is lost, damaged during transportation, does not match your order, or is otherwise faulty, please notify our Customer Service as soon as possible and no later than within 3 days of receiving the shipment.

Any hidden defects or hidden non-conformities should be notified to us, e-mail address orders@nuanic.com within thirty (30) days of discovery but no later than ninety (90) days of the delivery of the nonconforming or defective item.

Retain all contents, original packaging materials, and shipping boxes. This is a prerequisite for filing the claim(s). (FAILURE TO DO SO CAN RESULT IN THE DENIAL OF YOUR CLAIM AND THE REFUND OR REPLACEMENT OF YOUR PURCHASE).

Right of Cancellation and Return Policy

Order placement is binding and does not have a right of cancellation.

If the delivery time is unreasonably delayed due to reasons not attributable to the subscriber, they have the right to cancel the order and receive a refund of the paid purchase price.

The cancellation notice must be clearly made by email to orders@nuanic.com. The cancellation notice should include the subscriber's contact information, the reason for cancellation, and payment details for the refund. Nuanic will confirm the cancellation by replying to the subscriber's email.

Warranty

Nuanic grants a warranty for material and manufacturing defects of the product, which is valid for one (1) year from the date of purchase. If the applicable local law at the time of purchase requires a longer warranty period than one (1) year, this warranty will be extended to the extent required by that law. During the warranty period, Nuanic will repair or replace free of charge all parts of the Product that are covered by the warranty. The receiver is responsible for the cost of returning the product. Replacement products may be new or refurbished at our discretion. This limited warranty does not cover (i) normal wear and tear, including scratches and dents; (ii) consumable parts included with the Product, such as batteries, unless the Product is damaged due to a material or manufacturing defect; (iii) damage resulting from failure to use the Product in accordance with the instructions provided with the product packaging or available on the website; (iv) damage resulting from an accident, misuse, or abuse; (v) damage resulting from service or modifications performed by anyone other than an authorized Nuanic representative or from alterations made to the Product; or (vi) use of the Product with software other than Nuanic software.

Nuanic reserves the exclusive right to repair or replace the Product or offer a full refund at its sole discretion. Such compensation shall be the sole and exclusive remedy for any breach of this warranty. Warranty repairs and replacement Products have a new warranty period of ninety (90) days or the remaining portion of the original one (1) year warranty, whichever is longer.

Service Availability

You understand and agree that Nuanic may modify, update, and otherwise change the availability or content of the Services at any time in its sole discretion. You also understand and agree that there may be times when the Services are unavailable, cannot be accessed, or do not function for any reason, including (i) equipment malfunctions; (ii) regular maintenance or repairs that Nuanic may perform from time to time without notice to you; or (iii) reasons beyond Nuanic's control or not reasonably foreseeable.

Limitation of Liability

Nuanic shall not be liable for any indirect or direct or other damage arising from or related to the order, delivery, product, or use of the product or service, except to the extent that mandatory provisions of the law have otherwise provided for such damage. Nuanic's liability under any circumstances and under any law shall not exceed 100 €.

Nuanic is not a medical device and therefore cannot be used for health or treatment planning or diagnosis. The party using Nuanic measurement is always responsible for the interpretation and accuracy of the data.

The Nuanic ring is only intended to be worn on human fingers.

The Nuanic ring may get stuck on the finger. The ring can be cut at its narrowest point (the side facing the palm).

Nuanic is an electronic device and in some cases, it may cause interference with other devices. If you use a pacemaker or other sensitive devices, please consult your doctor or technology provider for Nuanic product usage recommendations.

Intellectual Property Rights

Nuanic Oy owns the Nuanic brand, name, graphics, images, texts, technology, algorithm, and Nuanic index. Purchasing or using the product or service does not grant direct or indirect rights to these. The intellectual property rights belong solely to Nuanic and may not be copied.

Applicable Law and Disputes

This Agreement shall be governed in all respects by the laws of Finland.

We strive to settle any possible disputes regarding your order through mutual agreement, so please contact our Customer Service as a primary means to resolve the matter.

Any dispute arising under this Agreement that cannot be settled otherwise shall be finally settled by arbitration in accordance with the Rules of Arbitration of the Central Chamber of Commerce of Finland. The arbitration court shall consist of one (1) arbitrator appointed by the said Chamber of Commerce. The arbitration shall take place in Helsinki, Finland in the Finnish language.
